ARTICLES OF INCORPORATION

OF

ARKANSAS GENEALOGICAL SOCIETY, Inc.

We, the undersigned, citizens and residents if the State of Arkansas, in order to form a corporation for the purposes hereinafter stated, under and pursuant to the provisions of Act No. 176 of the 1963 Acts of the General Assembly of Arkansas, entitled: “An Act to Provide for the Incorporation and Registration of Non-profit Organizations, etc.” approved March 7, 1963, DO HEREBY CERTIFY that we have organized and adopted the following Articles of Agreement for such incorporation:

ARTICLE I – NAME

The name of this corporation is: Arkansas Genealogical Society, Inc.

ARTICLE II — HOME OFFICE

The office and place of business of this corporation is located in the City of Conway, Faulkner County, Arkansas with P, O. Box No, 587.

ARTICLE III — REGISTERED AGENT

The registered agent of this corporation is: Guy W. Murphy, who is at the office and address of this corporation.

ARTICLE IV — PERIOD OF EXISTENCE

The period of existence of this corporation shall be perpetual.

ARTICLE V — NATURE

This corporation is a private, cultural, educational, and scientific organization, without capital stock or shares. It shall declare no dividends, and make no distributions to its members. Its assets are forever dedicated to the purposes for which it is organized.

ARTICLE VI — PURPOSE

The purposes and objectives of the Arkansas Genealogical Society, Inc. are:
(a) to bring together interested persons for discussion and interchange of information in the field of genealogy.
(b) to foster the study of methods of research in genealogy and family history.
(c) to assist individual members and others in research in genealogy and family history.
(d) to issue appropriate publications.
(e) to collect and preserve appropriate source material.
(f) to assist Libraries in developing adequate genealogical collections.
(g) to encourage the establishment of local chapters of this society within the state.
(h) to seek by all appropriate means the education and generation of greater interest in and support of genealogical study by the public as a whole.

ARTICLE VII — MEMBERSHIP

The membership of this society shall include the following classifications:
(a) individual
(b) institutional
(c) sustaining
(d) life
(e) honorary
“The qualifications and requirements. for membership may be fixed by the Board of Directors in conformity with the nature and Purposes of this organization.”

ARTICLE VIII — GOVERNMENT

(a) The governing body of the Arkansas Genealogical Society, Inc. shall consist of a Board of Directors,. consisting initially of 15 members herein after named, all succeeding Directors to he elected by the general membership of the Society at the annual meetings of the Society, for terms of three years each, the manner of election and the number of Directors to be fixed by the By-laws, provided the number of Directors composing the Board shall never be reduced below five (5).

(b) The Board of Directors shall elect from its membership the following officers to serve for one year or until their successors are elected: President, Vice-president, Secretary~Treasurer, Herald, and Historian.

(c) The Board of Directors shall adopt and publish By-laws for the internal management and operation of the Society.

ARTICLE IX — MEETINGS

(a) The annual meeting of the Society shall be held on the 3rd Sunday in October each year, at the time and place fixed by the Board of Directors. Members will be notified at least 30 days before such meetings.

(b) The Board of Directors shall meet at the same tine and place and immediately after adjournment of the annual meeting of the Society, and at such other times as may be fixed in the By-laws of the Society. Special meetings may be called at any time by the President, upon 5 days notice.

ARTICLE X — PROPERTY, GIFTS, ETC

The Arkansas Genealogical Society, Inc. is authorized to accept, own and dispose of real estate, personal property, including all forms of securities, and money, thru gifts, endowments, bequests or otherwise, with or without limitations, and have all other powers necessary to carry out the purposes and objectives of the society, as set forth herein, and not in violation of or inconsistent with the laws of the United, States or the State of Arkansas.

“At each annual meeting of the Society a successor shall be elected by the Society from its membership, for a term of three years, to succeed each Director whose term may expire at the end of that calendar year, provided the number of Directors composing the Board of Directors may be reduced to not less than five (5) as provided in article VIII (a) above.

ARTICLE XIII — AMENDMENTS

This constitution may be amended at any regular or called meeting of the membership of the Society by a two-thirds vote of the members present and voting, in person or by proxy, provided there is a quorum present in person or by representation and the proposed amendments have been sent to each member at least 30 days an advance of the meeting at which action is to be taken.

ARTICLE XIV — DISSOLUTION

Upon dissolution or liquidation of this corporation, and after payment of all liabilities outstanding at that time, the remaining assets of this corporation shall be assigned, transmitted and delivered to such other organization or organizations as the Board of Directors may determine at that time to be dedicated and operated as a non-profit organization with one or more of the purposes set forth in Article VI herein, exempt from taxation under section 501 (c)(3), contributions to which are also deductible under section 170 (c)(2), of the Internal Revenue Code of 1954, and amendments thereof, or to the Federal Government or to a state or local government for a public purpose.

ARTICLE XV

Sam M, Clark, attorney of Conway, Arkansas, is hereby authorized, empowered, and directed to take all necessary steps to obtain legal incorporation of the Arkansas Genealogical Society, Inc, in accordance with the forgoing Articles of Incorporation under Act 176 of 1963 and to file and procure so far as possible tax exemptions from Federal and State taxes, and generally to represent the Arkansas Genealogical Society.
